The transfer of the technology created by universities to the world of industry has improved significantly in recent years. From the perspective of transfer tools, the vehicles used to transfer exploitation rights over the results of university research have become increasingly diverse and sophisticated. As such, patent licences, which were the main and almost only means available for decades, have been joined by several other initiatives, such as university spin-offs. Nevertheless, there is a long way to go before businesses, especially SMEs, adopt a culture of co-developing their products with universities. This collaboration can bring a lot to both worlds: research excellence to the business world; proximity to the real technical problem for universities. Among the obstacles to better collaboration, there is probably the time. To understand the problem, it must be remembered that sharing knowledge is and must be a guiding principle of university research. Accordingly, the entire system is designed to achieve this purpose, be it by publishing scientific articles or applying for patents (which offer exclusivity in exchange for disclosure). However, in an era of vertiginous technological change like the one we are experiencing, the time it takes to obtain a patent means they are not always the right instrument for this purpose. While seeking protection as a trade secret could be an option, the confidentiality inherent to this legal instrument clashes head on with the sharing of knowledge that is the purpose and raison d’être of universities. Is there a compromise? It is in hands of universities and the business world to work together to find a balance, in which the use of trade secrets as a transfer tool does not distort the very nature of public research, but rather encourages collaboration and improves results to ensure knowledge is better shared with society. La transferencia al mundo industrial de tecnología creada por la Universidad ha experimentado una notable mejora en los últimos años. Desde la perspectiva de los instrumentos de transferencia, se han diversificado y sofisticado los vehículos de transmisión de los derechos de explotación sobre los resultados de la investigación universitaria. Así, a las licencias de patente, como medio principal y casi único de transferencia durante décadas, se han unido iniciativas de muy diversa índole, con las spin-off universitarias como más claro ejemplo. Sin embargo, queda camino todavía para que las empresas, especialmente las pequeñas y medianas, adquieran una cultura de codesarrollo de sus productos de la mano de la Universidad. Esta colaboración puede aportar mucho a ambos mundos: investigación de excelencia, a la Empresa; cercanía al problema técnico real, a la Universidad. Entre los obstáculos para una mejor colaboración está, muy probablemente, el tiempo. Para apreciar el problema, es preciso recordar que la divulgación del conocimiento es y debe ser principio rector de la investigación universitaria. En consonancia, todo el sistema está ideado para este fin, ya sea mediante la publicación de artículos científicos o mediante la solicitud de patentes, que conceden exclusiva precisamente a cambio de la divulgación. Sin embargo, en una era de vertiginosa transformación tecnológica como la que estamos viviendo, el tiempo necesario para obtener una patente no siempre las convierte en un instrumento hábil para el fin previsto. Aunque la protección mediante secreto industrial podría ser entonces una opción, la confidencialidad, que constituye su presupuesto jurídico de existencia, choca frontalmente con la divulgación, que es fin y razón de ser de la Universidad. ¿Puede existir un compromiso? Está en manos de la Universidad y la Empresa intentar buscar un equilibrio, en el que el secreto industrial como mecanismo de transferencia no desnaturalice la función misma de la investigación pública, sino que incentive la colaboración y mejore los resultados, para un mejor retorno del conocimiento a la sociedad.
